These terms apply when you use the Wave investor portal (the “Portal”). The Portal is operated by Wave Corporate Finance B.V., Koningsweg 9, 5211 BD 's-Hertogenbosch, the Netherlands, Chamber of Commerce no. 68049528 (“Wave”, “we” or “us”).
1. What the Portal is
The Portal shows you information about your investment. The company, foundation or other entity through which your investment is administered (your “Issuer”) supplies that information. Wave displays it on the Issuer’s instructions.
Wave provides the Portal to the Issuer under a separate agreement with the Issuer. You are not a party to that agreement, and it gives you no rights against Wave in respect of your investment. Your rights in the investment itself follow from your own documentation with the Issuer.
Access is granted by invitation. The Issuer decides who receives access and which information that person sees.
2. The official documentation prevails
The figures in the Portal are a convenience, not a legal record. Where the Portal disagrees with the notarial deed, the shareholder or bondholder register, or any other official documentation for your investment, that official documentation prevails.
The same applies to any document shown in the Portal. The executed original governs, not the copy on your screen.
If you notice a difference, please tell us at support@wavecorporatefinance.com, so that we can raise it with your Issuer.
3. No advice and no guaranteed value
Nothing in the Portal is investment advice, tax advice or legal advice. Wave gives no recommendation to buy, hold or sell anything.
Any value shown is an internal figure, prepared by your Issuer or by Wave on the Issuer’s instructions. It is not a formal valuation and it guarantees no outcome. The price the asset would fetch in the market at any given moment may be higher or lower, and the difference may be substantial. A value may also be historic, estimated, or supplied by a third party.
Please take your own professional advice before you act on what you read here.
4. Your account
Keep your password and your two-factor authentication device secret. Do not share your account or let anyone else sign in as you. You are responsible for what happens under your account.
If you lose your device, or you think somebody else reached your account, contact support@wavecorporatefinance.com without delay.
5. Acceptable use
When you use the Portal, please do not:
- pass information about another investor on to anyone, if you see it by accident;
- collect data from the Portal by automated means, such as a scraper or a bot;
- test, probe or interfere with the security of the Portal;
- copy or republish the Portal software, its design or its content beyond your own use of your investment information.
If you find a security problem, please report it to support@wavecorporatefinance.com rather than act on it. We will not pursue a good-faith report.
6. Availability
Wave provides the Portal as it stands and promises no particular level of availability. We may change, suspend or withdraw the Portal, or any part of it, and we may take it down for maintenance or for security.
A Portal outage does not affect your investment, and it does not affect any right or obligation recorded in your official documentation.
7. Wave’s liability
Wave is liable to you only for damage caused by its own intent or its own deliberate recklessness. Wave is not liable for the accuracy, completeness or timeliness of the information the Issuer supplies, nor for any decision you take on the basis of what the Portal shows.
Nothing in these terms limits liability that cannot be limited under Dutch law. These terms say nothing about the liability of your Issuer, which follows from your own documentation with the Issuer.
8. Changes to these terms
We may update these terms. The version on this page, with its effective date, is the one that applies. If a change matters to you, we will point it out in the Portal or by email.
9. Privacy
Our privacy notice explains how personal data is handled when you use the Portal.
10. Governing law
Dutch law governs these terms and your use of the Portal.
